Welcome to The South African Souvenir & Gift Co. (SASGO Pty Ltd). These Terms and Conditions govern the use of our wholesale website, platform and the procurement of our products. By registering as a stockist or placing an order, you acknowledge that you have read, understood, and agree to be bound by the terms outlined below.

1. Introduction & Eligibility

  • 1.1 Scope: These Terms and Conditions (“Terms”) govern the use of the SASGO Website (“Website”) and the ordering of products (“Products”) from SASGO (“We”, “Us”, “Our”).
  • 1.2 Wholesale Only: Access to our product range and pricing is strictly reserved for approved retailers, resellers, and professional on-sellers. We do not sell directly to the public.
  • 1.3 Modifications: We reserve the right to modify these Terms at any time. Continued use of the Website constitutes acceptance of the updated Terms.
  • 1.4 Holistic Agreement: These Terms should be read in conjunction with our Shipping & Returns Policy and Privacy Policy. They are supplementary to any specific Service Level Agreements (SLA) provided during your initial customer registration.

2. Account Registration & Security

  • 2.1 Approval Process: To view wholesale pricing and initiate orders, users must apply for a B2B Account. Approval is at our sole discretion and is based on the provision of accurate business information.
  • 2.2 Confidentiality: You are responsible for maintaining the security of your Account login details. Prices and internal catalogs are considered Confidential Information and may not be shared with third parties or the general public.
  • 2.3 Unauthorized Access: You agree to notify SASGO immediately of any suspected unauthorized use of your Account.

3. The Ordering Process & Payment

  • 3.1 Ordering: All orders are initiated via a “Request for Quote” or “Order” through the B2B portal. Orders are subject to stock availability and final acceptance by Us.
  • 3.2 Payment Method: Payment is strictly via Electronic Funds Transfer (EFT).
  • 3.3 Upfront Payment: To ensure efficient fulfillment and logistics, all orders must be paid in full (cleared funds) before the order is processed, manufactured, or shipped.
  • 3.4 Order Cancellation: We reserve the right to cancel or reject any request for a quote or order at our discretion.

4. Pricing & Product Information

  • 4.1 Wholesale Pricing: All prices displayed on the portal are wholesale rates. These prices exclude VAT and delivery costs, which will be calculated and provided on your final pro-forma invoice.
  • 4.2 Price Fluctuations: Prices are subject to change without notice; however, prices are locked once a specific quote or invoice has been confirmed and issued to the client.
  • 4.3 Accuracy: While we strive for absolute accuracy in our product descriptions and imagery, we are not responsible for minor typographical errors or omissions.

5. Intellectual Property

  • 5.1 Ownership: All designs, photography (including wildlife and scenic sights), and the “Words of Wisdom” series are the intellectual property of SASGO or our licensors.
  • 5.2 Usage Restrictions: You may not copy, reproduce, modify, distribute, or print any content from this Website for marketing or commercial use without express written consent from SASGO.

6. Governing Law & Jurisdiction

  • 6.1 Jurisdiction: These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
  • 6.2 Domicilium: SASGO chooses as its domicilium citandi et executandi for all purposes under this agreement: Table View, Cape Town, South Africa.
